World Liberty-linked AI Financial Corp has sold its Canadian subsidiary, ALT5 Sigma Canada, to New York-based PrimeDelta Corp, according to a filing with the US Securities and Exchange Commission.

The deal comes about three weeks after fintech company Perpetuals.com abandoned talks to acquire the Canadian business.
Under the agreement, AI Financial will receive a $12 million secured promissory note. The payment includes $1 million due next week, with the remaining amount payable over time. AI Financial will also receive about 11.6 million PrimeDelta shares.
The SEC filing did not explain why the company decided to sell the unit. AI Financial, formerly known as ALT5 Sigma, and PrimeDelta did not immediately respond to requests for comment outside regular business hours.
PrimeDelta operates a financial platform focused on tokenizing securities. The company previously faced a legal dispute with ALT5 Sigma over allegations involving a former consultant and company data. Both sides settled the dispute in December without admitting wrongdoing.
Links to World Liberty Financial
World Liberty Financial, a cryptocurrency venture backed by the Trump family, partnered with ALT5 Sigma in August 2025.
Under that arrangement, ALT5 Sigma raised $750 million by selling new shares. It then used $717 million to purchase World Liberty tokens.
Reuters previously reported that the transaction directed more than $500 million to the Trump family under its arrangement with World Liberty Financial.
Meanwhile, AI Financial’s stock has suffered a sharp decline since the August 11, 2025 transaction. Shares fell from more than $9 to about 44 cents on Friday, leaving the company with a market value of roughly $61 million.
PrimeDelta takes over Canadian business
The sale marks a new direction for ALT5 Sigma Canada after Perpetuals.com ended its proposed acquisition.
Perpetuals.com announced the decision about three weeks before the PrimeDelta transaction. The company did not provide further details about why it abandoned the deal.
PrimeDelta’s focus on tokenized securities places the Canadian unit within a broader financial technology sector that continues to develop around digital assets and blockchain-based financial products.
The latest transaction also highlights the continuing changes at AI Financial following its partnership with World Liberty Financial and the sharp decline in its market value.
